1 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of OffloadX, a WordPress plugin and associated licensing services operated by BridgeLink Digital ("we," "us," or "our"), accessible at offloadx.com.

By downloading, installing, activating, or using OffloadX or any related service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the service.

2 Description of Service

OffloadX is a WordPress plugin that enables automatic offloading of WordPress media files to third-party cloud storage providers including but not limited to Cloudflare R2, Amazon S3, DigitalOcean Spaces, Wasabi, Bunny Storage, and Google Cloud Storage.

The plugin is offered under a freemium model with the following tiers:

• Free — permanently free, limited to 50 files on one site
• Pro (1, 3, or 5 sites) — paid subscription, unlimited files, advanced features
• Agency (unlimited sites) — paid subscription, all features including WooCommerce, Multisite, and White Label

The plugin code is licensed under GPL-2.0+. The licensing system, premium features, and offloadx.com services are proprietary.

3 Accounts and Licensing

3.1 Account Registration

To access paid features, you must create an account at offloadx.com and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

3.2 License Keys

Upon purchase, you will receive a license key. License keys are non-transferable and may only be activated on the number of WordPress installations permitted by your plan. Attempting to circumvent license enforcement is a material breach of these Terms.

3.3 Grace Period

If our license server is temporarily unreachable, OffloadX will continue operating in a grace period of up to 7 days before premium features are suspended.

4 Payment and Billing

4.1 Pricing

Subscription prices are displayed at offloadx.com/pricing. All prices are in USD and exclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.2 Billing Cycle

Subscriptions are billed monthly or annually as selected at checkout. Annual subscriptions receive a 20% discount. Billing renews automatically unless cancelled before the renewal date.

4.3 Payment Processing

Payments are processed securely through Paddle, our merchant of record. Paddle handles all payment processing, tax collection, and compliance. By purchasing, you also agree to Paddle's terms of service.

4.4 Failed Payments

If a payment fails, we will retry up to three times over seven days. If payment cannot be collected, your account will be downgraded to the Free tier and premium features will be suspended.

5 Acceptable Use

You agree not to use OffloadX or our services to:

• Violate any applicable law, regulation, or third-party rights
• Circumvent, disable, or interfere with license enforcement mechanisms
• Share, resell, or sublicense your license key without written permission
• Reverse-engineer proprietary components of the licensing system
• Use the plugin to store or distribute illegal, harmful, or infringing content
• Attempt to gain unauthorized access to our systems or other users' accounts

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

6 Intellectual Property

The OffloadX plugin code is released under the GNU General Public License v2.0 or later (GPL-2.0+). You may use, modify, and distribute the plugin code in accordance with the GPL license.

The OffloadX name, logo, and branding are trademarks of BridgeLink Digital and may not be used without written permission. The licensing system, API, and offloadx.com platform are proprietary and not covered by the GPL.

7 Disclaimer of Warranties

OffloadX is provided "as is" and "as available" without warranty of any kind. We do not warrant that the plugin will be error-free, uninterrupted, or compatible with all WordPress configurations, hosting environments, or third-party plugins.

You acknowledge that offloading media files carries inherent risk and that you are solely responsible for maintaining backups of your data before using any migration or deletion features.

8 Limitation of Liability

To the maximum extent permitted by applicable law, BridgeLink Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of revenue, or business interruption — arising from your use of OffloadX.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

9 Termination

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time except where required by our Refund Policy or applicable law.

We may terminate or suspend your account immediately, without notice, if you materially breach these Terms. Upon termination, your license key will be deactivated and premium features will be suspended.

10 Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
